Terms & Conditions

Please read this document carefully. It contains very important information about the Purchaser’s rights and obligations, as well as limitations and exclusions that may apply to the Purchaser.

TERMS ARE EXCLUSIVE

This document which shall accompany a quote, invoice, sales receipt or document of sale (“Sales Document”) contains the terms and conditions that apply to your purchase from WiseSorbent® Technologies LLC. (hereinafter “Wisesorbent”). This document, together with the relevant Sales Document issued by Wisesorbent, constitutes the complete and final agreement between the undersigned (hereinafter referred to as “Purchaser”) and WiseSorbent® for the products, machinery and/or accessories described hereon or in the related Sales Document. The terms and conditions contained in this document may not be added to, modified, supplemented or superseded by the use of any other documents, including, but not limited to, any and all Purchaser documents. Any attempt to alter, supplement or amend this document will be null and void unless any such amendment or supplementation is agreed to as evidenced by a signed approval by an authorized representative of Wisesorbent. If Purchaser accepts any performance of Wisesorbent, Purchaser will be deemed to have accepted the terms and conditions of this document. For the avoidance of doubt and to resolve any issue regarding competing forms, in the event that the Purchaser issues a purchase order or other related purchase document, it is specifically agreed that the same is for internal purposes only and no term or condition stated in such document shall have any force or effect.

TERMS OF ACCEPTANCE

Payment in full is due upon receipt of invoice. However, the payment terms of a Purchaser with approved credit are net thirty (30) days after date of invoice which, in the case of the purchase of products shall be the date of release to the warehouse for shipment of the product(s), and in the case of the purchase of machinery and/or accessories shall be the date of delivery of the machinery and/or accessories to the Purchaser. If payment is not received when due, there will be assessed a charge for financing at one and one-half percent (1.5%) per month or fraction thereof. On special items, WiseSorbent® reserves the right to ship and bill ten percent (10%) more or ten percent (10%) less than the quantity covered by the order as necessary because of difficulties in material procurement and in production scheduling. If any order is not for an integral number of standard containers, WiseSorbent® reserves the right to ship, and Purchaser agrees to pay for, the nearest quantity possible in standard containers, even though this may raise or lower the quantity ordered.

PRICING

In the event the transaction covered by these Sale Terms and Conditions is the sale of products, the prices shall be those in effect at the time of shipment for the particular product, grade and quantity shipped. WiseSorbent® reserves the right to amend its pricing without advance notice to Purchaser. If an order is delayed at the request of Purchaser, and such delay causes increased production costs or otherwise, the additional cost will be billed to the Purchaser without objection. Additionally, if costs for a particular product are increased by new governmental regulations or other reasons beyond Wisesorbent’s control, the increased cost shall be added to the Purchaser’s invoice without objection by Purchaser.

DELIVERY

A. Products. Title to and risk of loss of the products will pass to Purchaser upon Wisesorbent’s tender of delivery of the products to a carrier. The Purchaser is responsible for all freight, insurance and other related costs and risks. B. Product sold by the third party(Amazon) strictly applied amazon delivery and refund policy:
  • Shipping method selected is shipping option advertised on a product detail page.
  • Order is shipping to eligible address.
  • Order is placed before “order within” countdown listed on the checkout page. The “order within” countdown timer provides the window of time in which you must place your order to receive your delivery by the date shown. That delivery date may become unavailable within that window of time due to changes in inventory or delivery capacity before you place your order. Your confirmed delivery date is included in your order confirmation E-mail. Contact us with any concerns.
  • If you order contains items that aren’t eligible for guaranteed delivery, shipping preference “Ship my items as they become available” is selected.
  • our credit or debit card must be successfully charged before the deadline displayed on the checkout page.
  • The guarantee does not apply if we miss our promised delivery date because of an unforeseen circumstance outside of our control, such as a strike, natural disaster, or severe winter storm. Also, delivery scans might be inaccurate.
    • An attempted delivery on or before the guaranteed delivery date meets our delivery guarantee.
    • An offer by the carrier of a delivery appointment on or before the guaranteed delivery date meets our delivery guarantee
C. Machinery and/or Accessories. If the machinery and/or accessories are sold EXW Wisesorbent, delivery is complete when the machinery and/or accessories are accepted by the carrier. While great care is taken in packaging all machines, parts and accessories, WiseSorbent® cannot be held responsible for damage that occurs in transit. Purchaser will accordingly make all claims against the carrier for damage or breakage (whether concealed or obvious) incurred while in transit. If machinery or accessories is delivered to Purchaser’s place of business and is damaged in transit, Purchaser agrees to make the necessary and appropriate notation on the bill of lading concerning such damage and notify WiseSorbent® of the pending claim against the carrier. WiseSorbent® will render all reasonable assistance to secure satisfactory adjustment of such damage claims. Purchaser will pay all demurrage, drayage, hoisting and rigging, and Purchaser shall be responsible for arranging for unloading and moving the machinery or accessories to the site of installation.

INSURANCE

Relative to the purchase of machinery and/or accessories, from the time of shipment to complete installation and full payment to WiseSorbent® for the machinery and/or accessories, Purchaser agrees to insure the machinery and/or accessories for the benefit of Purchaser and Wisesorbent, and upon request by Wisesorbent, Purchaser shall provide WiseSorbent® with a certificate of insurance naming WiseSorbent® as an additional insured.

RETURNS POLICY

A. Item sold directly on wisesorbent’s site : You may return most new, unopened items within 10 days of delivery for a full refund. We’ll also pay the return shipping costs if the return is a result of our error (you received an incorrect or defective item, etc.). You should expect to receive your refund within 2 weeks of giving your package to the return shipper, however, in many cases you will receive a refund more quickly. This time period includes the transit time for us to receive your return from the shipper (3 to 10 business days), the time it takes us to process your return once we receive it (1 to 2 business days), and the time it takes your bank to process our refund request (3 to 5 business days). B. Item sold by third party (Amazon) Items can be returned within 30 days of receipt of delivery using the Online Returns Center. It can take up to 25 days for an item to reach us once you return it. Once the item is received at our fulfillment center, it takes 2 business days for the refund to be processed and 3-5 business days for the refund amount to show up in your account. Your return label will require you to return the item at your own expense. Amazon will automatically refund up to $20 for return postage costs on receipt of the item. If your return postage costs exceed $20, you may contact our Customer Service Center to request a refund of the remaining postage cost. If you return a defective, damaged or incorrect item, you’ll be refunded the full postage cost, as well as your Import Fees Deposit, once your return is processed.
